Terms and Conditions
Cornerstone Billing Solutions (hereinafter “CBS”) provides user interfaces and tools for accessing subscriber accounts and information regarding billing, payments, service, and installed system information for security alarm, fire alarm and PERS dealers. This agreement sets forth the Terms and Conditions under which you (“you”), whether personally or on behalf of your company, may use the “Service”. The Service includes CBS’s servers, websites, API, AlarmPayments.com, mobile app, software ("Tools") and the corresponding email and phone notifications, texts and calls, from the CBS servers. Please read this page carefully. By accessing, browsing, or using the Services or viewing, downloading, emailing any content from the Services, you acknowledge that you have read, understood and agree to be bound by these terms and to comply with all applicable laws and regulations. If you do not have such authority, or if you do not agree with all of these terms and conditions, then you must not accept this agreement and may not access or use the service(s). We may revise these Terms and Conditions at any time.
DEFINITIONS
1. “Service” means CBS’s servers, websites, API, AlarmPayments.com, mobile app, software ("Tools") and the corresponding email and phone notifications, texts and calls, from the CBS servers.
2. “Site(s)” means domains or subdomains owned and operated by CBS.
3. “Tools” means any mechanism provided by CBS to facilitate any and all Services. It includes without limitation the mobile platform, and may include without limitation computer code, software libraries, software tools, samples, published specifications and Documentation. App shall include any future, updated or otherwise modified version(s) thereof made available by CBS (in its sole discretion) to dealer or user.
4. “Dealer” or “User” means any party utilizing the CBS Sites or Services on behalf of the company engaging in CBS’s Services. Sometimes referred to hereinafter as “you” or “your.”
5. “Personally Identifiable Information” or “PII” means any information that can be used on its own or in combination with other information to identify, contact, or locate a single person, or to identify an individual in context.
6. “Confidential Information” means any customers’, subscribers’ or users’ identities and other associated information not generally available to the public, and other non-public information.
7. “Terms & Conditions,” “User Agreement,” or “Agreement” means this document as well as the Billing Agreement signed by you or the company that you represent.
SCOPE OF USE
1. Use of the Service. CBS grants you a limited license to access your company’s customer / subscriber data and modify to the extent your login permissions allow. Such use is limited to the company's internal use. This license does not include: any resale or other commercial use of the Services or any content or intellectual property on the Services; any derivative use of the Services or any content in the Services; any downloading or copying of these Services or any content in these services for the benefit of another person or entity; or any use of data mining, robots or similar data gathering or extraction tools. This Service and the content of these Services may not be reproduced, duplicated, copied, sold, resold, visited, or otherwise exploited for any commercial purpose without the express written consent of CBS. You may not frame or utilize framing techniques to enclose any trademark, logo or other proprietary information (including, without limitation, images, text, page layouts, report formats, or forms) of CBS or its affiliates, vendors, contractors, agents or content providers without the express written consent of CBS. You may not use any meta tags or any other hidden text utilizing CBS or any of its affiliates' names or trademarks without the express written consent of CBS. Any unauthorized use or use in excess of one's authorized use terminates the limited license granted by CBS. In addition, CBS may revoke your limited license at any time at its sole and absolute discretion.
2. Data Content. The content accessed through the Service is the Dealer’s responsibility, as covered in the Billing Agreement and is provided solely on an "AS IS" and "AS AVAILABLE" basis as noted herein. The Dealer is responsible for the accuracy, integrity, and daily management of their customer / subscriber data. The Dealer is also responsible for setting the user login permissions to allow access and use of the customer data as needed. You are responsible to protect your customer’s PII information and adhere to any regulations and requirements concerning unauthorized access to such data. We will maintain certain data that you transmit to the Site for the purpose of managing the Site, as well as data relating to your use of the Site. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Site. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.
3. Use Restrictions. Except as otherwise explicitly provided in this Agreement or as may be expressly permitted by applicable law, you will not, and will not permit or authorize your Affiliates or third parties to allow anyone other than an Authorized User to access or use CBS Sites, Services, and Tools. User will not post content or items in an inappropriate category or areas on our Sites and Services; violate any laws, third party rights, our policies, or this User Agreement, as may be amended; use our Sites, Services, or Tools if Users are not able to form legally binding contracts, are under the age of 18, or are temporarily or indefinitely suspended from using our Sites, Services or Tools; circumvent or manipulate our fee structure, the billing process, or fees owed to CBS; post any PII or Confidential Information in any place or field other than the fields so designated in the Site(s); use the texting service to send mobile originating SMS messages beyond contacting established customers for business related messages (e.g., no marketing texts or texts to call list contacts who are not the customer); or use the emailing service to send email originating messaged beyond contacting established customers for business related messages (e.g. no marketing emails or emails to call list contacts who are not the customer). CBS is not engaged in rendering medical, investment, financial, tax, accounting, legal, engineering, or other professional services or advice. If you desire or need such services or advice, you should consult a professional. You should not construe CBS publication of this content as an endorsement by CBS of the views expressed herein, or any warranty or guarantee of any of these views, opinions or recommendations. The Service is protected by U.S. and international copyright laws. Except for your informational, personal, non-commercial use as authorized above, you may not modify, reproduce or distribute the content, documentation, design or layout of the Service, or individual sections of the content, documentation, design or layout of the Service or CBS logos without our express written permission.
4. Regulatory Guidelines. You shall not violate (intentionally or unintentionally) any applicable local, state, national or international laws or regulations in connection with the Tools, including but not limited to those related to intellectual property, privacy, or security.
5. Authorized Users Only. You acknowledge and agree that only Authorized Users may access or use the Tools, and only up to the number of Authorized Users specified in the Billing Agreement. An Authorized User Account must not be shared among others. Additional Authorized Users may be added by paying the applicable fees to us, as per the Billing Agreement, at our then-current rate or as otherwise specified.
6. Beta Versions. From time to time, we may make available for you to try, at your sole discretion, certain functionality related to the Service, which is clearly designated as beta, test, dev, pilot, limited release, non-production, or by a similar description (each, a “Beta Version”). Beta Versions are intended for evaluation and testing purposes and not for production use, are not supported, and may be subject to additional terms. We may discontinue Beta Versions at any time at our sole discretion and may never make them generally available. We have no liability for any harm or damage arising out of or in connection with a Beta Version.
7. Service Availability. We perform and maintain regular database backups according to the retention policy appropriate for the applicable servers. We incorporate and apply applicable security certificates, PCI scans, 2FA for administrators, window and software updates to address data security and integrity requirements and to improve user performance. We have implemented and will maintain reasonable measures intended to avoid unplanned Service interruptions and downtime. We will use reasonable efforts to notify you in advance of planned Service interruptions and downtime.
SECURITY
1. Data Security. We implement and maintain physical, electronic, and managerial procedures intended to protect against the loss, misuse, unauthorized access, alteration, or disclosure of Subscriber Data. We will notify you of any unauthorized access to, or use of, Subscriber Data that comes to our attention. If any unauthorized disclosure of Subscriber Data resulting from your use of the Service comes to our attention, we will work with you to investigate the cause of such unauthorized disclosure and will work together in good faith to take the steps reasonably necessary to prevent any future recurrence and to comply with applicable data breach notification laws.
2. Data Transmission. You acknowledge that the use of the Service involves transmission of Subscriber Data and other communications over the Internet and other networks, and that such transmissions could potentially be accessed by unauthorized parties. You must protect your Authorized User login names and passwords from access or use by unauthorized parties and are solely responsible for any failure to do so. You must promptly notify us of any suspected security breach at service@alarmbills.com
3. Credentials. You are responsible for maintaining the confidentiality and use of your login and password credentials. Dealer is responsible for setting and reviewing the appropriate internal user permissions for access to data.
LIMITATION OF LIABILITY
Liability. CBS reserves all rights not expressly granted to you in the signed Agreement. Except for the limited rights and licenses expressly granted under this Agreement, nothing in this Agreement grants, by implication, waiver, estoppel, or otherwise, to Customer or any third party any intellectual property rights or other right, title, or interest in or to the Services. Dealer acknowledges that, as between Dealer and CBS, CBS owns all right, title, and interest, including all intellectual property rights, in and to the Services.
WARRANTY AND DISCLAIMER
1. Our Warranty. CBS’s services are provided ‘as is’ and user hereby disclaims all warranties, whether express, implied, statutory, or otherwise. User specifically disclaims all implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and all warranties arising from course of dealing, usage, or trade practice. User makes no warranty of any kind that the user IP, or any products or results of the use thereof, will meet customer's or any other person's requirements, operate without interruption, achieve any intended result, be compatible or work with any software, system, or other services, or be secure, accurate, complete, free of harmful code, or error free.
2. Violations and Additional Policies. CBS reserves the right to seek all remedies available at law and in equity for violations of these Terms and Conditions, including the right to block access from a particular Internet address or phone number to the Service. CBS may terminate this Agreement and/or your access to the Service at any time for any reason or no reason.
MISCELLANEOUS
1. Waiver and Modifications. Failure, neglect, or delay by a Party to enforce the provisions of this Agreement or its rights or remedies at any time, will not be construed as a waiver of the Party’s rights under this Agreement and will not in any way affect the validity of the whole or any part of this Agreement or prejudice the Party’s right to take subsequent action. Exercise or enforcement by either Party of any right or remedy under this Agreement will not preclude the enforcement by the Party of any other right or remedy under this Agreement or that the Party is entitled by law to enforce. We reserve the right, at our discretion, to change the terms of this Agreement on a going-forward basis at any time. Please check the terms of this Agreement periodically for changes. If a change materially modifies your rights or obligations, you will be required to accept the modified Agreement in order to continue to use the Service. CBS may make changes in the products and/or services described on the Service at any time.
2. URL and Links. From time to time, we may incorporate links that allow you to leave the User Interfaces and, in the future, may offer links that allow you to leave the Service (e.g. USPS). The linked sites are not under the control of CBS, and the content available on the sites linked to the Service do not necessarily reflect the opinion of CBS. CBS is providing these links as a convenience to you, and access to any other sites linked to the Service is at your own risk. CBS assumes no responsibility for the content of such linked sites. The inclusion of any link does not imply a recommendation or endorsement by CBS of the linked site.
3. Location. The Service is operated by CBS from its offices in the United States. CBS makes no representation that the information located on the Service is appropriate or available for use in other locations, and access to the Service from territories where the content of the Service may be illegal is prohibited. Those who choose to access the Service from other locations do so on their own initiative and are responsible for compliance with applicable local laws. Any claims relating to the information available on the Service will be governed by the laws of the state of Illinois, U.S.A., excluding the application of its conflicts of law rules.
4. Purchases. Your commercial dealings with advertisers and/or vendors found on or through the Service (each, a "Vendor"), including payment, delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such Vendor. You agree that CBS shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of suc5. No Third-Party Beneficiaries. There are no third-party beneficiaries to this Agreement, including, without limitation, your Affiliates, Permitted Third Parties, or Authorized Users.
6. Headings. Headings are used in this Agreement for reference only and will not be considered when interpreting this Agreement.
7. Counterparts. The Service Order may be executed in any number of identical counterparts, notwithstanding that the Parties have not signed the same counterpart, with the same effect as if the Parties had signed the same document. All counterparts will be construed as and constitute the same agreement. The Service Order may also be executed and delivered by facsimile or electronically and such execution and delivery will have the same force and effect of an original document with original signatures.
8. Mobile App Versions and use ANDROID DEVICES. The use of the mobile application will only be supported by Android 14 and up. We will no longer support older operating software versions.
PRIVACY POLICY
1. Our Promise. As a trusted vendor to the security services industry, CBS promises to maintain the highest possible standards to maintain the confidentiality and privacy of subscriber and customer data. CBS will not disclose any information or data submitted by Users of this web site to any third party, without the User's prior permission, unless CBS has a good faith belief that such action is necessary to: (a) conform to legal requirements or comply with legal process; or (b) protect and defend the rights or property of CBS.
2. Credit Card and Bank Information. Credit Card & Bank Information: Subscriber data is used only to process the charges that have been authorized and is kept strictly confidential. By necessity, third parties are used to process and clear these payments; although all such parties CBS works with have strict confidentiality provisions, CBS cannot be held responsible for any breach of security or for any actions of any third parties which receive the information.
3. Billing Agreement. CBS’s customers are security alarm and PERS dealers who sign a billing agreement that contains strict confidentiality provisions - we specify that subscriber information will only be used for the processing tasks we’ve been asked to transact. CBS has been handling such confidential information since 1999. During that time, we've handled billing for over two hundred thousand subscriber accounts.
MOBILE APPLICATION LICENSE
1. Use License. If you access the Site via a mobile application, then we grant you a revocable, non-exclusive, non-transferable, limited right to install and use the mobile application on wireless electronic devices owned or controlled by you, and to access and use the mobile application on such devices strictly in accordance with the terms and conditions of this mobile application license contained in these Terms of Use. You shall not: (1) decompile, reverse engineer, disassemble, attempt to derive the source code of, or decrypt the application; (2) make any modification, adaptation, improvement, enhancement, translation, or derivative work from the application; (3) violate any applicable laws, rules, or regulations in connection with your access or use of the application; (4) remove, alter, or obscure any proprietary notice (including any notice of copyright or trademark) posted by us or the licensors of the application; (5) use the application for any revenue generating endeavor, commercial enterprise, or other purpose for which it is not designed or intended; (6) make the application available over a network or other environment permitting access or use by multiple devices or users at the same time; (7) use the application for creating a product, service, or software that is, directly or indirectly, competitive with or in any way a substitute for the application; (8) use the application to send automated queries to any website or to send any unsolicited commercial e-mail or texts; or (9) use any proprietary information or any of our interfaces or our other intellectual property in the design, development, manufacture, licensing, or distribution of any applications, accessories, or devices for use with the application.
2. Apple and Android Device. The following terms apply when you use a mobile application obtained from either the Apple Store or Google Play (each an “App Distributor”) to access the Site: (1) the license granted to you for our mobile application is limited to a nontransferable license to use the application on a device that utilizes the Apple iOS or Android operating systems, as applicable, and in accordance with the usage rules set forth in the applicable App Distributor’s terms of service; (2) we are responsible for providing any maintenance and support services with respect to the mobile application as specified in the terms and conditions of this mobile application license contained in these Terms of Use or as otherwise required under applicable law, and you acknowledge that each App Distributor has no obligation whatsoever to furnish any maintenance and support services with respect to the mobile application; (3) in the event of any failure of the mobile application to conform to any applicable warranty, you may notify the applicable App Distributor, and the App Distributor, in accordance with its terms and policies, may refund the purchase price, if any, paid for the mobile application, and to the maximum extent permitted by applicable law, the App Distributor will have no other warranty obligation whatsoever with respect to the mobile application; (4) you represent and warrant that (i) you are not located in a country that is subject to a U.S. government embargo, or that has been designated by the U.S. government as a “terrorist supporting” country and (ii) you are not listed on any U.S. government list of prohibited or restricted parties; (5) you must comply with applicable third-party terms of agreement when using the mobile application, e.g., if you have a VoIP application, then you must not be in violation of their wireless data service agreement when using the mobile application; and (6) you acknowledge and agree that the App Distributors are third-party beneficiaries of the terms and conditions in this mobile application license contained in these Terms of Use, and that each App Distributor will have the right (and will be deemed to have accepted the right) to enforce the terms and conditions in this mobile application license contained in these Terms of Use against you as a third-party beneficiary thereof.
